Terms of Service
Effective October 6, 2026
1. Acceptance of these terms
Effective date: October 6, 2026.
These Terms of Service ("Terms") are a legal agreement between you and Think Loud Studios, LLC ("Think Loud Studios," "we," "us," or "our"), a Pennsylvania company located at 210 York Street, York, Pennsylvania 17403. They govern your use of thinkloudstudios.com, thinkloud.studio, and our subdomains (the "Site"), the Think Loud Triage application and our TikTok Shop partner services (the "App"), and the content, programs, and services we offer through them (together, the "Services").
By using the Services you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services. If you use the Services on behalf of a company or brand, you confirm that you have authority to bind it, and "you" includes that company.
Eligibility. You must be at least 18 years old to submit an application, authorize the App, book a stay or studio session, or enter into any agreement with us. Anyone under 18 may browse the Site but may only participate in our creator programs through a parent or legal guardian who signs the applicable agreement and manages the relationship, where the platform permits. You may not use the Services if you are barred from doing so under the laws of the United States or any other jurisdiction, or if you have been removed from TikTok Shop or another platform we work with for violating its rules.
Separate agreements. Creators, brands, sellers, studio clients, and guests typically sign a separate written agreement, booking confirmation, or statement of work. Where a separate agreement conflicts with these Terms, the separate agreement controls for that relationship.
2. Our Services
Think Loud Studios operates a creator network for TikTok LIVE and affiliate commerce, a live commerce and brand agency, recording and content studios, creator hospitality, a merchandise portal, and the App. The Site describes these Services and lets you contact us, apply, book, or register.
Inquiries and applications. Submitting an inquiry, creator application, seller registration, booking request, or merch claim does not create a contract with us. We review each one and decide in our sole discretion whether to accept it, and we may decline without giving a reason. A relationship begins only when we and you sign a written agreement, or when we confirm a booking or order in writing.
No guarantee of results. We do not guarantee that you will be accepted into any program, matched with any brand or creator, earn any amount of money, reach any number of views, followers, Diamonds, or sales, or achieve any particular result on TikTok or any other platform. Figures on the Site about creator earnings, revenue, or audience size are historical, aggregate, and not a promise of your results. Platform commissions, affiliate rates, and payouts are set by the platforms and the brands, not by us, and may change at any time.
Studio sessions, stays, and events. Studio time, hospitality stays, and events are subject to the booking terms, house rules, and release you receive at booking or check-in. You are responsible for your guests and for any damage you or they cause.
Changes to the Services. We may add, change, suspend, or discontinue any part of the Services at any time without liability to you.
3. The Think Loud Triage App and your accounts
Authorization. The App connects to TikTok Shop through TikTok's authorization process. By authorizing the App or appointing us as your TikTok Shop partner, you confirm that you own or are authorized to manage the shop, you grant us access to the shop data within the scopes you approve, and you instruct us to use that data to provide the services in your agreement with us. You can revoke access at any time in TikTok Shop Seller Center or Partner Center. Revocation ends our ability to service your shop and starts the data deletion described in our Privacy Policy.
Your responsibilities. You remain the seller of record and are responsible for your products, listings, pricing, taxes, shipping, returns, customer service standards, and compliance with TikTok Shop policies and applicable law. We act on your instructions and on the information you and TikTok give us. We are not responsible for losses caused by inaccurate listings, inventory, or instructions, by TikTok system outages or policy changes, or by actions TikTok takes against your shop.
Accounts and codes. Some parts of the Services use accounts, check-in codes, or invite codes. Keep them confidential and do not share them. You are responsible for everything done under your account or code until you tell us it has been compromised at security@thinkloudstudios.com. We may suspend or close accounts and codes that are shared, misused, or inactive.
Platform rules. TikTok's Terms of Service, Community Guidelines, TikTok Shop seller, creator, and partner policies, and the equivalent rules of any other platform we use apply to you in addition to these Terms. If a platform rule is stricter than these Terms, the platform rule applies.
4. Acceptable use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any platform rule.
- Provide false information in an inquiry, application, registration, or booking, or impersonate any person or brand.
- Submit, stream, or distribute content that is infringing, defamatory, obscene, harassing, hateful, or that violates anyone's privacy or publicity rights.
- Scrape, crawl, copy, or harvest data from the Site or App, or use bots or automated tools other than ordinary search engines.
- Probe, scan, or test the vulnerability of the Site or App, bypass any security or access control, or interfere with the Services or the networks that support them.
- Reverse engineer, decompile, or attempt to extract the source code of the App.
- Resell, sublicense, or share your access to the Services, or use the App for a shop you do not own or are not authorized to manage.
- Use the Services to send spam, run schemes that manipulate platform metrics, or buy or sell fake engagement, reviews, or followers.
- Record, photograph, or stream inside our studios or campus without permission, or share confidential information about our clients, creators, or operations.
We may investigate suspected violations, remove content, suspend or terminate access, and report conduct to platforms or law enforcement.
5. Intellectual property and your content
Our content. The Site, the App, and everything in them, including text, photos, video, audio, graphics, logos, software, and the selection and arrangement of the content, are owned by Think Loud Studios or our licensors and are protected by copyright, trademark, and other laws. Think Loud Studios, Think Loud, Think Loud Live, Think Loud Shop, Think Loud Talent, and our logos are trademarks of Think Loud Studios or its affiliates. You may view and print pages from the Site for your personal or internal business use. You may not copy, modify, distribute, publicly display, or create derivative works from our content, or use our trademarks, without our written permission.
Your content. You keep ownership of the content you submit to us through the Site or App, including applications, messages, photos, video, audio, and testimonials ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, and display Your Content to review your submission, provide the Services, and operate our business. Content captured in our studios, at our events, or during campaigns is governed by the release or agreement you sign, which controls over this section. You confirm that you own or have the rights to Your Content and that it does not violate anyone's rights or any law.
Testimonials and name. If you give us a testimonial or agree to be featured, you permit us to use your name, handle, likeness, and the testimonial in our marketing until you withdraw permission by emailing privacy@thinkloudstudios.com.
Feedback. If you send us ideas or suggestions about the Services, we may use them without any obligation to you.
Copyright complaints. If you believe content on the Site infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent at legal@thinkloudstudios.com or by mail to Think Loud Studios, Attn: Copyright Agent, 210 York Street, York, PA 17403, including the work claimed to be infringed, the location of the material, your contact details, a statement of good faith belief, a statement under penalty of perjury that the notice is accurate and you are authorized to act, and your signature. We will remove or disable access to infringing material and may terminate repeat infringers.
6. Third-party platforms and services
The Services depend on platforms and services we do not control, including TikTok, TikTok Shop, TikTok LIVE, Whatnot, Amazon Live, eBay Live, YouTube, Instagram, Facebook, LinkedIn, payment processors, shipping carriers, and the hosting providers behind the Site and App. The Site also contains links to third-party websites and registration pages, including TikTok Shop seller registration links that identify Think Loud Studios as the referring partner.
Your use of any third-party platform is governed by that platform's own terms and privacy policy. We are not responsible for the availability, content, policies, fees, payouts, account actions, or practices of any third party, and a link does not mean we endorse the third party. Platform commissions, affiliate rates, creator payouts, and seller fees are set and paid by the platforms and brands, and disputes about them must be raised with the platform or brand, except where your written agreement with us says otherwise.
The App uses TikTok Shop's application programming interfaces under TikTok's developer and partner terms. TikTok may change or withdraw those interfaces or our partner status at any time, which may limit or end the services we can provide through the App.
7. Disclaimers, limitation of liability, and indemnification
Disclaimers. THE SITE, THE APP, AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY RESULT WILL BE ACHIEVED. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, THINK LOUD STUDIOS AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE, THE APP, OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM. THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW, AND IT DOES NOT OVERRIDE THE LIABILITY TERMS IN A SEPARATE WRITTEN AGREEMENT BETWEEN YOU AND US.
Indemnification. You agree to defend, indemnify, and hold harmless Think Loud Studios and its affiliates, owners, officers, employees, contractors, and agents from any claim, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising out of or related to Your Content, your products or shop, your use of the Services, your violation of these Terms or any platform rule, or your violation of any law or the rights of any third party. We may assume control of the defense of any matter subject to indemnification, and you agree to cooperate.
8. Governing law and disputes
Governing law. These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the Commonwealth of Pennsylvania and applicable federal law, without regard to conflict of law rules.
Informal resolution first. Before filing a claim, you agree to email legal@thinkloudstudios.com with a description of the dispute and the relief you want, and to work with us in good faith for 30 days to resolve it. We will do the same before filing a claim against you.
Venue. Any claim that is not resolved informally must be brought exclusively in the state courts located in York County, Pennsylvania, or the United States District Court for the Middle District of Pennsylvania, and you consent to the personal jurisdiction of those courts. Either party may bring a qualifying claim in small claims court instead.
Jury trial and class action waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THINK LOUD STUDIOS EACH WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Time limit. Any claim arising out of or related to the Services or these Terms must be filed within one year after it arises, or it is permanently barred, except where the law does not allow this limit.
Injunctive relief. Nothing in this section prevents either party from seeking an injunction or other urgent relief in any court to protect intellectual property or confidential information.
9. Termination, changes, and general terms
Termination. You may stop using the Services at any time and may revoke the App's access in TikTok Shop. We may suspend or terminate your access to the Site, the App, or any program at any time, with or without notice, if you violate these Terms or a platform rule, if a platform requires it, or if we discontinue the Service. Sections 5, 7, 8, and 9 survive termination. Termination of a separate written agreement is governed by that agreement.
Changes to these Terms. We may update these Terms from time to time. The effective date at the top shows when they last changed. If a change is material, we will post a notice on the Site or email you before it takes effect. Your continued use of the Services after the change means you accept the updated Terms.
Electronic communications. You agree that we may communicate with you electronically and that electronic notices, agreements, and signatures satisfy any legal requirement that they be in writing.
Entire agreement. These Terms, the Privacy Policy, and any separate written agreement between you and us are the entire agreement about the Services and replace any prior understanding. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them to an affiliate or successor. Neither party is liable for delays caused by events outside its reasonable control. Section headings are for convenience only.
